1. Purpose and scope

These terms of sale govern the provision of the Avitime service to businesses (“Merchants”). Avitime is a brand operated by SPARKMOTION AGENCY LTD, a company registered in England and Wales under number 16880032 (“Avitime”).

The service is reserved for businesses acting for the purposes of their trade. Any subscription implies full acceptance of these terms, which prevail over any other document of the Merchant.

2. Definitions

  • Tester: an adult individual, registered free of charge on Avitime and admitted after a test on the tester rules.
  • Campaign: an operation created by the Merchant to have a product from its store tested.
  • Test unit: one item of a product allocated to a Tester and actually ordered at €0. A unit is neither a product reference nor a published review.
  • Mission: a Tester’s journey for a product, from selection to publication of the review.
  • Authorisation: a single-use right to order, tied to a store, a Tester, a product, a quantity, a country and a validity period.
  • Module: the Avitime module installed on the Merchant’s PrestaShop store, or the Avitime extension installed on its WooCommerce store. App: the Avitime app installed on the Merchant’s Shopify store.

3. Description of the service

Avitime lets the Merchant have its products tested by Testers selected by Avitime, who receive the product free of charge through a real €0 order on the Merchant’s store, use it, then publish a review. Reviews are shown on the product page with the notice “Product provided free for testing — verified Avitime tester”.

The final selection of Testers is made by Avitime according to explainable criteria (eligibility, availability, anti-duplicate rules, random draw between comparable profiles). The Merchant sets the parameters of its Campaign but does not choose the Testers.

4. Registration and account

The Merchant creates a business account and provides accurate, up-to-date information (company name, registration number, contact details, store). Avitime may verify that the business exists and refuse or suspend an account if the information is inaccurate. The service is limited to one store (PrestaShop, WooCommerce or Shopify) per subscription.

5. Plans, prices and test units

PlanTest units / monthAnnual plan (excl. tax)Monthly plan (excl. tax)
Starter25€478.80 / year, i.e. €39.90 / month€49.90 / month
Pro60€718.80 / year, i.e. €59.90 / month€74.90 / month

Prices exclude taxes. The products given away and their shipping costs are borne by the Merchant. Test units not used in a month are not carried over to the next month. To be validated: 25/60 volumes and no carry-over

6. Term and commitment

When subscribing, the Merchant chooses between two options:

  • Annual plan: a twelve (12) month subscription, paid upfront in one payment. It renews for a further year unless cancelled at least thirty (30) days before its end date. The amount paid remains due to Avitime if cancelled during the year, except in the event of a serious breach by Avitime.
  • Monthly plan: a subscription without commitment, paid upfront each month and cancellable at any time; cancellation takes effect at the end of the current month.

The total price of the chosen plan is shown clearly before any subscription. To be validated: renewal terms

7. Changing plans

The Merchant may move from Starter to Pro, or from the monthly to the annual plan, from its account. The change only takes effect after the Merchant’s express acceptance, the new price being shown clearly (for example Pro annual: €718.80 excl. tax for twelve months). On the annual plan, moving to Pro opens a new twelve (12) month period, less a pro-rata deduction for the period already paid. Moving from Pro to Starter, or from annual to monthly, takes effect at the end of the current period.

8. Invoicing and payment

Subscriptions are payable upfront through a secure payment provider. For a Shopify store, payment must go through Shopify Billing and appears on the Merchant’s Shopify invoice. Avitime stores no card data. An invoice or receipt is made available in the Merchant’s account. To be validated: VAT treatment (UK company, French business customers)

In the event of late or failed payment, Avitime informs the Merchant and may, after a reminder that remains unanswered for fifteen (15) days, suspend the creation of new Campaigns and Authorisations. Missions already under way continue to their end.

9. How test units work

  • A unit is reserved when an Authorisation is issued to a Tester.
  • It is used when the €0 order is placed on the store.
  • It is released if the Authorisation expires or if the order is cancelled before shipping.
  • It remains used if the product has been shipped, even if no review is ultimately published.

10. Merchant obligations

  • Offer products that are compliant, safe, legally marketable in France and in authorised categories. Excluded in particular: tobacco and nicotine products, CBD, alcohol, medicines, food supplements, products intended for minors and any regulated category excluded by Avitime.
  • Ship ordered products within a reasonable time, with its usual carriers, and enter the shipping statuses.
  • Never make the offer of a product conditional on a rating or a positive review, not contact Testers to influence their review and not offer them anything in return.
  • Not modify, hide or remove an authentic review. The Merchant may reply publicly to a review or report it to Avitime’s moderation.
  • Keep the notice “Product provided free for testing — verified Avitime tester” attached to each review.
  • Use the Testers’ data received for an order (name, delivery address) only to ship that order.

11. Avitime obligations

Avitime selects Testers, issues Authorisations, checks and moderates reviews neutrally, publishes them and supports the service. Avitime is bound by an obligation of means.

Avitime does not guarantee a number of reviews, a rating, a sales volume, a ranking in search engines or the display of stars in search results or artificial intelligence assistants.

12. Reviews

Reviews are written by Testers, who remain their authors. All ratings from 1 to 5 are accepted. An authentic negative review that complies with the moderation rules is published in the same way as a positive review. Avitime may refuse or remove a non-compliant review (unlawful content, personal data, copied text, review written by artificial intelligence without real experience), giving reasons.

Compatibility with third-party review modules is not guaranteed. Avitime reviews are shown in a dedicated block.

13. PrestaShop module, WooCommerce extension and Shopify app

For the term of the subscription, Avitime grants the Merchant a non-exclusive, non-transferable right to use the Module or the App. The Merchant is responsible for installing it, for its store’s compatibility and for keeping its access keys confidential. It informs Avitime without delay of any compromise.

The Module identifies each test order in the Merchant’s back office: order status “Testeur Avitime”, payment method “Avitime – produit offert” and customer group “Testeurs Avitime”. On WooCommerce, the Module creates each test order as a €0 “Processing” order paid with “Avitime – produit offert” and flagged “Avitime tester”. On Shopify, the App creates each test order as a €0 order tagged “avitime”. The Merchant does not cancel, refund or charge a test order to the Tester: it ships it like an ordinary order and enters the tracking number.

14. Personal data protection

14.1 Roles. Avitime is the controller of the processing it carries out for its own purposes (accounts, Tester selection, reviews, invoicing), described in the privacy policy. The Merchant is the controller of the processing of its store’s customers; on receipt, it becomes the controller of the Tester’s name and delivery address, which it uses only to ship the order concerned.

14.2 Store data processed by Avitime. When the Merchant connects its store (PrestaShop module, WooCommerce extension or Shopify app), Avitime only accesses its catalogue (product name, price, image, availability), the Tester orders created by Avitime and their tracking (status, carrier, tracking number, cancellation). Avitime does not read or store the data of the store’s other customers. For this data, Avitime acts as the Merchant’s processor within the meaning of Article 28 of the GDPR (and the UK GDPR) and undertakes to:

  • process it only to provide the service, on the documented instructions constituted by these terms;
  • never sell or rent it or use it for advertising or profiling;
  • bind the persons authorised to access it to confidentiality;
  • protect it with appropriate measures: encryption in transit (HTTPS) and encryption at rest of sensitive data (addresses, phone numbers, tax numbers, tracking numbers, store access keys), access control and logging of sensitive actions;
  • use only the sub-processors needed for the service (hosting: Hostinger; email delivery: Hostinger), bound by the same obligations, and inform the Merchant of any change;
  • help the Merchant respond to requests to exercise data subjects’ rights and assist it with its security and impact assessment obligations;
  • notify the Merchant of any personal data breach concerning it without undue delay, and no later than forty-eight (48) hours after becoming aware of it;
  • make available to it the information needed to demonstrate compliance with these obligations.

14.3 Retention. Data is kept for as long as needed for the service, according to the periods set out in the privacy policy, and erased automatically at the end of those periods. When the App or Module is uninstalled, Avitime’s access to the store is revoked immediately. On receipt of the erasure request sent by Shopify (forty-eight (48) hours after uninstallation), the store’s connection data (access keys, installation, linking codes) is erased. Tester orders and published reviews are kept for Avitime’s accounting and tax obligations and for Testers’ rights; the product catalogue contains no personal data.

14.4 Transfers. Avitime is operated from the United Kingdom, which benefits from an adequacy decision of the European Commission. Any other transfer is made with the safeguards provided by applicable law. To be validated: legal review of the data processing agreement

15. Liability

Avitime is not responsible for the Merchant’s products, their compliance or their delivery. Except in the case of gross negligence or wilful misconduct, Avitime’s liability is limited to direct damage and capped at the amounts actually paid by the Merchant over the last twelve (12) months.

16. Suspension and termination for breach

In the event of a serious breach by the Merchant (in particular pressure on Testers, anything offered in exchange for a rating, a prohibited product, fraud), Avitime may suspend or terminate the subscription after reasoned notice, without prejudice to the amounts due.

17. General provisions

Changes. Avitime may change these terms. Any material change is notified to the Merchant at least thirty (30) days before it takes effect.

Force majeure. Neither party is liable for a failure resulting from force majeure.

Governing law and disputes. To be validated: governing law and competent court
